Confirmation statement: a company's yearly Companies House filing
Once a year every UK company confirms its register details. Deadlines, the £50 fee and the penalty for missing it.
Thanks for £1A confirmation statement is the yearly filing by which every UK company tells Companies House that the information about it is correct. All companies must file one, including dormant and non-trading companies. Here are the deadlines, the fee and what happens if you miss it. The details come from official gov.uk and Companies House pages.
Who must file, and how often?
Every company files a confirmation statement at least once every 12 months. The review period ends a year after incorporation (for the first statement) or after the date of your previous confirmation statement. Even if nothing has changed during the year, you still file: you are confirming the register is up to date.
What is the deadline?
You must file within 14 days of the end of the review period. You can also file early — you then set a new confirmation statement date. Missing the deadline is not a minor slip: Companies House can impose a penalty and strike the company off the register.
How much does it cost?
The fee is £50 to file online and £110 to file the paper CS01 form by post. The payment is tied to a payment period and is due once every 12 months, not per filing. Online is both cheaper and faster.
What must you confirm and update first?
Before confirming, update any changes to directors and the secretary, to people with significant control (PSC), to the registered office address and to the registered email. You must give a registered email address if you have not already (it is not published on the public register) and state that the company's future activities are lawful. An important change: each director must verify their identity — the statement will not be accepted until they have. In the statement itself you can also update SIC codes, the statement of capital and shareholder information.
What happens if you do not file?
You can be fined up to £5,000 and the company may be struck off the register. A struck-off company effectively ceases to exist, and its assets can pass to the Crown. So put the statement date in your calendar and file on time.
How is a confirmation statement different from annual accounts?
It is not a financial report. A confirmation statement only confirms that the register details are correct; the company files its accounts and pays tax separately and to their own deadlines. The payment period the fee is tied to also differs from the review period: you pay once every 12 months, however many statements you file in that time. It helps to put both dates — the end of the review period and the deadline 14 days later — in your calendar so you do not miss them. You can file early, too: a new review period then simply starts from the new date.
